1. Services

ScaleShift.ai provides custom AI automation solutions including AI voice agents, AI chat agents, workflow automations, and website redesign services for businesses. The specific scope of services will be defined in individual project agreements.

2. Engagement & Payment

All projects begin after a signed agreement and receipt of the agreed-upon deposit. Payment terms, including milestones and schedules, will be specified in your project agreement. Late payments may result in pausing of services.

3. Client Responsibilities

You agree to:

  • Provide timely access to necessary business information, systems, and accounts
  • Designate a point of contact for project communication
  • Review and provide feedback on deliverables within agreed timeframes
  • Ensure that any content or data you provide does not infringe on third-party rights

4. Intellectual Property

Upon full payment, you own the custom AI solutions and configurations we build for your business. ScaleShift.ai retains ownership of proprietary tools, frameworks, and methodologies used in the development process. We may use anonymized project details for case studies and marketing purposes.

5. Limitation of Liability

ScaleShift.ai provides services “as is” and makes no guarantees regarding specific business outcomes or financial results. Our liability is limited to the amount paid for the specific services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

6. Support & Maintenance

Support terms, including duration and scope, are specified in your project agreement. Post-support-period maintenance and updates are available at additional cost. We reserve the right to modify support processes with reasonable notice.

7. Termination

Either party may terminate the engagement with 30 days written notice. In the event of termination, you will be billed for work completed to date. Any deposits for uncompleted work will be refunded on a pro-rata basis.

8. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with applicable rules.
